Contract framework
These Terms govern the public website, platform, hardware, and related services. A signed order, statement of work, or enterprise agreement controls if it expressly conflicts with these Terms.
1. Agreement and order of precedence
These Terms of Service ("Terms") are a binding agreement between Race Link Live LLC ("Race Link Live," "we," "us," or "our") and the person or entity accessing the Race Link Live website, platform, hardware, support, or related services (collectively, the "Services"). By using the Services, you accept these Terms. If you use the Services for an organization, you represent that you have authority to bind it, and “you” includes that organization.
A signed order form, statement of work, or other written agreement (each, an "Order") governs the commercial scope purchased. If an Order expressly conflicts with these Terms, the Order controls for that conflict. Customer purchase-order boilerplate does not modify the agreement unless Race Link Live expressly signs it.
2. Eligibility and accounts
Account holders must be at least 18 and able to enter a binding agreement. You must provide accurate information, protect credentials, limit access to authorized users, configure roles appropriately, and promptly report suspected compromise. You are responsible for activity under your accounts and for administrators you appoint.
3. Services, hardware, and deployment
The Services may include cloud software, vehicle hardware, installation planning, connectivity, support, and event operations. Features, capacity, retention, support, and service levels are limited to the applicable Order. Hardware title, risk of loss, returns, replacement, warranty, and installation terms are governed by the Order or written hardware policy. You may not open, alter, reverse engineer, bypass, or misuse Race Link Live hardware except as expressly authorized in writing.
4. Customer responsibilities
You are responsible for safe installation, fused and suitable vehicle power, approved mounting, connectivity, sensor and CAN-bus access, vehicle compatibility, event permissions, and compliance with racing rules and law. You must obtain all notices, releases, licenses, and consents needed for drivers, crew, minors, video, audio, communications, location, telemetry, health-related data, and public distribution.
You must independently verify race-critical information and maintain appropriate radios, emergency procedures, qualified personnel, medical support, and backup systems. Race Link Live may rely on information and instructions provided by your authorized users.
5. Acceptable use
You may use the Services only as authorized by the agreement and law. You may not interfere with the Services; defeat access, safety, security, or usage controls; introduce malicious code; scrape or overload the Services; access another customer's data; use the Services to harm, surveil, or discriminate unlawfully; resell the Services without written permission; or copy, reverse engineer, or create derivative works except where a restriction is prohibited by law.
6. Customer Data and permissions
"Customer Data" means content, media, communications, configurations, telemetry, location, timing, health-related data, event information, and other material submitted to or generated through a customer's use of the Services. As between the parties, you retain your rights in Customer Data.
You grant Race Link Live and its processors a worldwide, non-exclusive license to host, copy, transmit, display, adapt, analyze, and otherwise process Customer Data as needed to provide, secure, support, improve, and enforce the Services; follow your authorized settings; comply with law; and exercise rights stated in the Privacy Policy. You represent that you have all rights and permissions necessary for Customer Data and our processing of it.
Race Link Live may create and use aggregated or de-identified data that does not reasonably identify a person, team, vehicle, or non-public event for analytics, benchmarking, product development, reliability, and commercial purposes. Race Link Live will not attempt to reidentify that data except to test its de-identification or as permitted by law.
7. Public content and media
If you enable public pages, streams, audio, telemetry, clips, replays, or sharing, you direct Race Link Live to publish that material. You are responsible for deciding what is public and obtaining all participant, music, publicity, intellectual-property, and privacy rights. Race Link Live may cache, transcode, format, distribute, and create technical copies needed to deliver authorized public content.
8. Analytics, predictions, and automated outputs
The Services may use rules, statistics, machine learning, or other automated methods to identify patterns, forecast conditions, generate summaries or clips, rank content, or suggest actions. Outputs may be incomplete, delayed, or wrong. They are advisory and do not replace professional judgment, direct observation, official race control, or required safety procedures. Unless an Order expressly says otherwise, Race Link Live does not guarantee any prediction, recommendation, score, alert, or generated output.
9. Motorsports, safety, and health disclaimer
Race Link Live does not operate a vehicle, control a race, dispatch emergency services, or guarantee receipt of an alert. The Services are not an emergency system, medical device, or substitute for official timing, race control, spotters, radios, course reconnaissance, qualified mechanics, or medical professionals.
Heart-rate and exertion features are for performance visualization and informational use. They do not diagnose, treat, cure, or prevent a condition; determine fitness to race; or provide medical advice or continuous emergency monitoring. You assume the risks of motorsports and remain responsible for operational, mechanical, medical, and safety decisions.
10. Connectivity and third-party services
The Services may depend on satellite, cellular, internet, maps, identity providers, payment providers, sensors, cameras, vehicle systems, and other third-party products. Their terms apply separately. Race Link Live does not control and is not responsible for third-party availability, coverage, accuracy, security, changes, or acts. Data may be delayed, missing, or unavailable because of terrain, weather, congestion, equipment, power, or third-party networks.
11. Fees, taxes, and renewal
You must pay fees, taxes, shipping, expenses, and other charges stated in the Order. Except where the Order or non-waivable law says otherwise, payments are non-cancelable and non-refundable. Overdue amounts may accrue the lesser of 1.5% per month or the maximum lawful rate, plus reasonable collection costs. Race Link Live may suspend Services for nonpayment after any notice required by the agreement or law. Renewal terms and future pricing follow the Order; Race Link Live may change pricing for a later renewal by giving the notice stated in the Order or, if none, at least 30 days.
12. Race Link Live property and feedback
Race Link Live and its licensors own the Services, software, hardware designs, documentation, visual identity, methods, models, improvements, and related intellectual property. Subject to payment and the agreement, Race Link Live grants you a limited, non-exclusive, non-transferable, revocable right to use the Services during the applicable term. If you provide feedback, you grant Race Link Live a perpetual, irrevocable, worldwide, royalty-free right to use it without restriction or compensation.
13. Confidentiality
Each party will protect the other's non-public information using reasonable care and use it only for the agreement. Confidential information excludes information lawfully known without restriction, independently developed, publicly available without breach, or rightfully received from another source. A recipient may disclose information when legally required after giving notice where permitted.
14. Changes, availability, and suspension
Race Link Live may update the Services and may suspend access to prevent harm, address security or legal risk, enforce the agreement, respond to nonpayment, or protect the Services. Unless an Order expressly includes a service-level agreement, no uptime, latency, coverage, accuracy, retention, recovery, or support-response commitment applies.
15. Termination and data after termination
Either party may terminate as stated in an Order. Race Link Live may terminate or suspend for material breach, nonpayment, unlawful use, security risk, or conduct likely to harm the Services or others. Upon termination, your right to use the Services ends and all amounts owed become due. Any export window or deletion schedule is limited to the Order and Privacy Policy. Race Link Live has no obligation to retain Customer Data after the applicable period.
16. Warranty disclaimer
TO THE FULLEST EXTENT PERMITTED BY LAW, EXCEPT FOR AN EXPRESS LIMITED WARRANTY IN AN ORDER, THE SERVICES AND OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” RACE LINK LIVE DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
Nothing in these Terms excludes a warranty or consumer right that cannot lawfully be excluded.
17. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, RACE LINK LIVE AND ITS AFFILIATES, LICENSORS, AND PERSONNEL WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES; LOST PROFITS, REVENUE, BUSINESS, GOODWILL, OR DATA; RACE DELAY OR RESULT; VEHICLE DAMAGE; PERSONAL INJURY; OR THE COST OF SUBSTITUTE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY.
RACE LINK LIVE'S TOTAL AGGREGATE LIABILITY ARISING FROM THE SERVICES OR AGREEMENT WILL NOT EXCEED THE FEES PAID OR PAYABLE TO RACE LINK LIVE FOR THE AFFECTED SERVICES DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. The exclusions and cap apply regardless of theory and allocate risk between the parties. They do not apply where prohibited by law or to liability that cannot lawfully be limited.
18. Indemnification
You will defend, indemnify, and hold harmless Race Link Live, its affiliates, and their personnel from third-party claims, losses, liabilities, penalties, and reasonable legal fees arising from Customer Data; your public content; your installation, vehicle, event, or use of the Services; your violation of law, racing rules, participant rights, or the agreement; or your failure to obtain required permissions. Race Link Live will give prompt notice and reasonable cooperation, and you may not settle a claim in a way that admits fault by or imposes obligations on Race Link Live without written consent.
19. Nevada law and disputes
Nevada law governs the agreement without regard to conflict-of-law rules. The state and federal courts located in Clark County, Nevada have exclusive jurisdiction, and each party consents to personal jurisdiction and venue there. Before filing a claim, a party must give written notice and allow 30 days for good-faith resolution, except for urgent injunctive relief.
TO THE FULLEST EXTENT PERMITTED BY LAW, EACH PARTY WAIVES TRIAL BY JURY AND AGREES TO BRING CLAIMS ONLY IN ITS INDIVIDUAL CAPACITY, NOT AS A PLAINTIFF OR CLASS MEMBER IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. Any claim must be filed within one year after it arose unless a longer period is required by law. These restrictions do not limit non-waivable consumer rights.
20. Miscellaneous
You may not assign the agreement without Race Link Live's written consent. Race Link Live may assign it to an affiliate or in connection with a merger, financing, reorganization, or sale of assets. Neither party is liable for delay caused by events beyond reasonable control, but payment obligations remain. The agreement is the complete agreement on its subject. A waiver must be written. If a provision is unenforceable, it will be modified to the minimum extent necessary and the rest remains in effect. Provisions that by nature should survive will survive termination. Notices may be delivered electronically unless an Order requires another method.
21. Changes to these Terms
Race Link Live may update these Terms prospectively. We will post the revised date and provide additional notice where required. Material changes will not retroactively reduce rights or expand our use of Customer Data without any notice or consent required by law or the applicable agreement. Continuing to use the Services after the effective date means you accept the revised Terms.
